Welcome to Sxgram!
These Terms of Use (“Terms”) govern your access to and use of the Sxgram Service (“Service”), operated by Sxgram, LLC, a Delaware limited liability company doing business as part of the fMETA ecosystem (“Sxgram,” “we,” “our,” or “us”).
By accessing or using Sxgram, you agree to these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.
ARBITRATION NOTICE
By agreeing to these Terms, you agree that any disputes between you and Sxgram, LLC will be resolved through binding, individual arbitration in Denver, Colorado.
You waive your right to participate in a class action lawsuit or class-wide arbitration.
You may opt out of arbitration within 30 days of accepting these Terms. Details appear in Section 7.4 below.
1. The Sxgram Service
Sxgram is an independent, creator-owned social platform designed to empower individuals to share content, build communities, and grow authentic influence—free from the arbitrary algorithms or hidden moderation policies of larger networks.
Our mission is simple: to build a transparent, trust-based ecosystem where creators control their story, data, and visibility.
The Service Includes:

Publishing Tools: Create and share Grams, Stories, Articles, and Magazine Features.

Trust & Transparency Features: Each account includes an About This Account section and Sxgram Trust Score for community feedback and accountability.

Creator & Brand Tools: Verified members can access advanced publishing tools, brand features, and collaboration options.

Discovery Systems: Search and recommendation tools that promote visibility based on context and engagement—not manipulation.

Safety & Moderation: Systems and teams that uphold safety, authenticity, and inclusivity while protecting against misuse or harmful behavior.

Community Ratings: A feedback system where members can rate each other to promote professionalism, authenticity, and trust.
Sxgram’s purpose is to give creators the same control over their digital presence that professionals have over their portfolios—without sacrificing freedom or fairness.
2. How Our Service Is Funded
Sxgram is built around ethical monetization.
While many features are free, creators and businesses may support the platform through:

Membership fees (e.g., Verified Tiers or premium upgrades)

Advertising and promotional placements

Optional tip processing or affiliate commissions

Platform services (e.g., sponsorships, hosting, or API integrations)
We do not sell user data.
We may, however, display sponsored content or affiliate promotions that align with your interests or creator category. Advertisers receive only aggregated and anonymized metrics—never your personal data—unless you explicitly authorize disclosure.
3. Privacy Policy
To provide the Service, we collect and use your information as described in our Privacy Policy.
You must agree to the Privacy Policy to use Sxgram.
We are committed to data transparency, creator control, and privacy by default.
4. Your Commitments
4.1 Who Can Use Sxgram
You may use Sxgram only if:

You are at least 18 years old, or the legal age of majority in your jurisdiction.

You are legally allowed to use the Service under applicable laws.

You have not been previously removed or banned for policy violations or unlawful activity.

You use the Service for lawful, creative, or community-building purposes.
4.2 How You Can’t Use Sxgram
To maintain a safe and trusted platform, you agree not to:

Impersonate another person or entity.

Use false or misleading information.

Engage in harassment, hate speech, or abusive behavior.

Post or share illegal content, including non-consensual imagery or copyrighted materials without rights.

Attempt to disrupt or misuse platform operations (e.g., hacking, scraping, automation).

Solicit passwords, sell accounts, or engage in fraudulent behavior.

Post misleading affiliate content or deceptive promotions.

Circumvent moderation systems or abuse reporting mechanisms.

Use Sxgram for unlawful solicitation or unverified financial activities.
We reserve the right to moderate, remove, or restrict accounts or content that violate these Terms.
4.3 Permissions You Grant to Sxgram
You retain full ownership of your content. However, you grant Sxgram a non-exclusive, royalty-free, worldwide license to:

Host, display, distribute, and promote your content through Sxgram’s systems and partner channels.

Use your profile name, image, and verified badge for the purpose of showcasing and promoting your content within Sxgram.
This license ends when your content is deleted or your account is terminated, except where copies remain as part of shared or derivative content still active on the platform.
You agree that Sxgram may deliver necessary updates, patches, or features to ensure continued service and compliance.
5. Additional Rights We Retain
Sxgram reserves the right to:

Modify or remove usernames or profiles that impersonate others or violate trademark rights.

Enforce brand and content guidelines to preserve trust and authenticity.

Retain all rights to platform materials, trademarks, and proprietary technology.

Deny use of Sxgram IP, code, or branding without express written consent.
6. Content Removal, Ratings, and Account Termination
We may remove content or suspend accounts that:

Violate these Terms or our Community Guidelines.

Involve unlawful, exploitative, or deceptive behavior.

Undermine community trust or platform integrity.
If your account is removed or disabled, you may appeal in writing to sxgramsocial@gmail.com
Deleted content may remain temporarily in backup or legal retention systems for up to 90 days, consistent with applicable laws.
Community Ratings & Trust Scores
Creators may receive ratings and reviews from other members.
You agree to receive feedback and understand that ratings:

Reflect community opinion, not Sxgram’s endorsement.

Contribute to the overall Sxgram Trust Score.

May influence visibility, recommendations, or verification eligibility.
Ratings may be moderated or removed if found to be fraudulent or abusive.
7. Our Agreement and What Happens If We Disagree
7.1 Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Sxgram, LLC.
If a portion of these Terms is unenforceable, the remainder shall remain in effect.
Amendments or waivers must be in writing and authorized by Sxgram.
7.2 Transfer of Rights
You may not transfer your rights under this agreement without our written consent.
Sxgram may assign these Terms in connection with a merger, acquisition, or sale of assets.
7.3 Limitation of Liability
The Service is provided “as is” and “as available.”
We make no warranties—express or implied—about uninterrupted access, accuracy, or performance.
To the fullest extent permitted by law, Sxgram is not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or reputation.
Our total liability will not exceed $100 or the total fees paid to Sxgram in the past twelve months, whichever is greater.
You agree to indemnify and hold harmless Sxgram, its officers, employees, and affiliates from any claims arising from your content, conduct, or breach of these Terms.
7.4 Arbitration & Governing Law
Any dispute arising out of these Terms shall be resolved through binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association (AAA).
No class actions or collective claims are permitted.
You may opt out of arbitration within 30 days of accepting these Terms by emailing legal@sxgram.com with your name, username, and a clear statement of intent.
For non-arbitrated matters, jurisdiction lies in the state and federal courts of Denver County, Colorado, governed by Colorado law.
8. Feedback and Unsolicited Ideas
We appreciate your feedback. By submitting suggestions, you grant Sxgram the right to use them freely, without obligation or compensation.
9. Updates to These Terms
We may update these Terms periodically to reflect platform changes or legal requirements.
If changes are significant, we will notify users through Sxgram or by email.
Continued use after notice constitutes acceptance of the updated Terms.
